TERMS AND CONDITIONS OF THE ONLINE WHOLESALE STORE

§ 1 General Provisions

• The wholesale store www.itsell.pl operates under the rules set out in these Terms and Conditions.

• These Terms specify the conditions for concluding and terminating Product Sales Agreements, complaint procedures, the types and scope of electronic services provided by the www.itsell.pl Wholesale Store, as well as the terms and conditions for providing such services.

• Each Customer, by using the electronic services of the www.itsell.pl Wholesale Store, is obliged to comply with these Terms and Conditions.

• In matters not covered by these Terms, the following laws apply:

  • the Act on the Provision of Electronic Services of 18 July 2002,

  • the Consumer Rights Act of 30 May 2014,

  • the Civil Code of 23 April 1964, and other relevant Polish legal provisions.

§ 2 Definitions

• Contact Form – a form available on www.itsell.pl that allows the user to send messages to the Service Provider.

• Registration Form – a form on www.itsell.pl that enables the creation of an Account.

• Order Form – a form on www.itsell.pl that enables the placement of an Order.

• Customer – a Service Recipient who intends to or has entered into a Sales Agreement with the Seller.

• Retail Customer –
  a) a natural person conducting a transaction with an entrepreneur not directly related to their business or professional activity, or
  b) a sole proprietor covered by consumer protection under the Consumer Rights Act.

• Wholesale Customer – a business entity not covered by consumer protection, who intends to or has entered into a Sales Agreement with the Seller.

• Account – a set of resources identified by a unique login and password, containing Customer data and order information.

• Product – a movable item or service available in the Wholesale Store that is the subject of a Sales Agreement between the Customer and the Seller.

• Regulations – these Terms and Conditions.

• Wholesale Store – the online store operated by ITSell Sp. z o.o. under www.itsell.pl.

• Seller / Service Provider – ITSell Sp. z o.o., based in Kraków, ul. Lipowa 3D, 30-702 Kraków, Poland, KRS: 0001183315, NIP: 6793336352, REGON: 542214715, correspondence address: ul. Lipowa 3D, 30-702 Kraków, warehouse: ul. Golikówka 7, 30-723 Kraków, e-mail: [email protected], phone: +48 503 995 897.

• Sales Agreement – a Product Sales Agreement concluded between the Customer and the Seller through the Wholesale Store.

• Electronic Service – a service provided electronically by the Service Provider to the Service Recipient.

• Service Recipient – a person or entity using an Electronic Service.

• Order – the Customer’s declaration of intent to conclude a Sales Agreement with the Seller.

§ 3 Product Information and Ordering

• The www.itsell.pl Wholesale Store sells Products exclusively to business entities.

• Products offered are new, free from defects, and legally placed on the Polish market.

• Information on the website does not constitute a commercial offer. By placing an Order, the Customer submits a purchase offer.

• Prices are displayed in PLN, EUR, USD, GBP or other currencies and include VAT but exclude delivery costs.

• The price valid at the time of Order placement is binding.

• Orders can be placed via the website 24/7 throughout the year.

• To place an Order, the Customer must register an Account.

• Acceptance of these Terms and Conditions is required to place an Order.

• Orders are processed Monday–Friday until 14:00. Orders after 14:00 or on non-working days are processed the next business day.

§ 4 Conclusion of the Sales Agreement

• The Sales Agreement is concluded after an Order is placed.

• The Seller confirms Order receipt via email.

• Confirmation binds the Customer to the Order.

• The Sales Agreement is concluded upon email confirmation receipt.

• Each Agreement is documented with a VAT invoice.

§ 5 Payment Methods

• Available payment methods:
  a) cash on delivery,
  b) bank transfer to ITSell Sp. z o.o. account: 76 2490 0005 0000 4530 0065 6956, SWIFT: ALBPPLPW.

• For bank transfers, the order is processed after payment is credited.

§ 6 Delivery Cost, Time, and Methods

• Delivery costs are covered by the Customer and calculated during Order placement.

• Order processing time: 1–2 business days.

• Deliveries are made by courier companies or the Seller’s own transport.

§ 7 Product Complaints

• Complaints should be sent to: [email protected] or by mail to ITSell Sp. z o.o., ul. Golikówka 7, 30-723 Kraków.

• The Seller will respond within 14 days.

• If justified, the Seller covers the cost of return and replacement.

§ 8 Right of Withdrawal (Retail Customer)

• A retail Customer has 14 days to withdraw from the contract.

• Returns must be sent to: ITSell Sp. z o.o., ul. Golikówka 7, 30-723 Kraków.

• Refunds are processed within 14 days of withdrawal notice.

§ 9 Provisions for Entrepreneurs (Wholesale Customers)

• The Seller reserves the right to withdraw from an agreement with a Wholesale Customer within 14 days.

• Risk of accidental loss or damage passes to the Customer upon delivery to the carrier.

§ 10 Entrepreneurs with Consumer Rights

• Sole proprietors acting outside their professional scope are entitled to consumer protection.

§ 11 Type and Scope of Electronic Services

• The Provider offers electronic services: account management and conclusion of Sales Agreements.

§ 12 Terms of Providing Electronic Services

• Services are free of charge.

• Requirements: internet access, browser, e-mail, cookies and JavaScript enabled.

§ 13 Complaints Regarding Electronic Services

• Complaints should be sent to: [email protected].

• The Seller will respond within 14 days.

§ 14 Termination of Electronic Service Agreements

• The Customer may terminate the account service at any time by email to: [email protected].

§ 15 Intellectual Property

• All content on www.itsell.pl is copyrighted and owned by ITSell Sp. z o.o.

• Any use without written consent is prohibited and subject to legal liability.

§ 16 Final Provisions

• Contracts concluded via the Wholesale Store are governed by Polish law.

• Disputes shall be resolved amicably or, failing that, by the court having jurisdiction over the Seller’s registered office.
